Terms of Service

1. Agreement to Terms

By accessing or using Conare ("Service"), operated by Conare ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Conare provides persistent memory for AI coding agents. The Service includes a web dashboard, CLI tool, MCP server integration, and API endpoints that allow users to store, search, and retrieve conversation context across AI tools such as Claude Code, Cursor, and Codex.

3. Accounts & Authentication

You must authenticate via Google OAuth to use the Service. You are responsible for maintaining the security of your account credentials and API keys. You must immediately notify us of any unauthorized use of your account.

You must be at least 18 years old or have parental consent to use the Service. By creating an account, you represent that you meet this requirement.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload content that infringes on third-party intellectual property rights
• Attempt to gain unauthorized access to other users' data or accounts
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malware, viruses, or malicious code
• Abuse API rate limits or attempt to circumvent usage quotas
• Resell, sublicense, or commercially redistribute the Service without written permission
• Use automated scripts to scrape, crawl, or data-mine the Service beyond normal API usage

5. User Content

You retain ownership of all content you upload to the Service ("User Content"), including conversation summaries, context items, and memories. By uploading User Content, you grant us a limited, non-exclusive license to store, process, index, and display your content solely for the purpose of providing the Service to you.

We do not claim ownership of your User Content. We do not use your content to train AI models. We do not sell or share your content with third parties except as required to provide the Service (e.g., vector embeddings for search).

You are solely responsible for the content you upload. You represent that you have the right to upload any content you provide to the Service.

6. Service Availability & Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available." We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. Material changes will be communicated via email or in-app notification.

7. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by Conare and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, Conare and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total cumulative liability for all claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless Conare and its founders, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. We may delete your User Content after a reasonable retention period following termination.

You may delete your account at any time by contacting us at support@conare.ai. Upon account deletion, we will remove your data promptly.

11. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
